CULTIVATE UNIVERSITY — UPDATED TERMS, REFUND POLICY, COACHING AGREEMENT, AND COMMUNITY POLICY

These Terms and Policies apply to all websites, courses, coaching programs, communities, memberships, subscriptions, live events, digital downloads, trainings, certifications, resources, consulting services, ministry resources, and offers provided by Cultivate University, Cultivate University Online, Cultivate DFW, Torace Solomon, and any affiliated brands, programs, or entities, unless a separate written agreement states otherwise.
By visiting our website, creating an account, joining a community, enrolling in a course, purchasing a product, registering for an event, subscribing to a membership, participating in coaching, or accessing any of our content, you agree to these Terms.
1. Scope of Services
Cultivate University provides digital education, ministry training, coaching, online communities, live classes, spiritual development resources, business education, leadership development, events, certifications, consulting, and related services.
Our Services may include, but are not limited to:

Prophetic, deliverance, healing, prayer, worship, leadership, and marketplace training

Business, marketing, content, and digital education

Events, conferences, and intensives
-
Future products, programs, or services created by Cultivate University or its affiliates
Any new product, service, feature, training, membership, event, community, resource, coaching program, subscription, or digital product created by Cultivate University or its affiliates is automatically covered by these Terms unless separate written terms are provided.
2. Educational, Spiritual, and Informational Purpose
All content provided by Cultivate University is for educational, informational, spiritual, ministry-development, and personal-development purposes only.
We do not provide medical advice, mental health counseling, legal advice, tax advice, financial advice, investment advice, or professional therapy unless explicitly stated in writing by a properly licensed provider acting in that professional capacity.
Participation in our programs does not replace the advice or care of a qualified doctor, therapist, counselor, attorney, accountant, financial advisor, or other licensed professional.
You are responsible for your own decisions, interpretations, actions, spiritual walk, business decisions, ministry decisions, financial choices, health choices, and personal outcomes.
3. No Guaranteed Results
We may share testimonials, student stories, case studies, examples, revenue numbers, ministry results, business growth examples, personal transformation stories, or other success stories.
These examples are not guarantees.
Your results may vary based on your effort, consistency, obedience, skill level, experience, resources, implementation, personal responsibility, market conditions, spiritual maturity, business model, audience, and other factors outside of our control.
We do not guarantee that you will make money, grow your ministry, build a successful business, receive specific spiritual outcomes, experience healing, receive deliverance, gain a certain number of followers, increase revenue, improve relationships, or achieve any particular result.
4. Intellectual Property Protection
All content, materials, trainings, videos, audio files, PDFs, graphics, frameworks, worksheets, slides, templates, workbooks, journals, curriculum, written materials, lessons, sermons, coaching methods, systems, names, logos, brands, processes, and resources provided by Cultivate University are protected intellectual property.
You may not copy, reproduce, duplicate, sell, resell, share, distribute, upload, teach, publish, modify, license, transfer, give away, or exploit any part of our content without prior written permission.
This includes, but is not limited to:

Sharing login access

Posting course videos or PDFs online

Uploading materials into another platform
-
Teaching our frameworks as your own
-
Repackaging our content into your own course, coaching program, sermon series, book, membership, curriculum, or training

Using our resources to train your own paid community without written permission

Selling or giving away downloaded materials

Recording private coaching, live trainings, or paid sessions without permission
-
Using screenshots, slides, transcripts, replays, or private teachings for commercial purposes
When you purchase or access our content, you receive a limited, revocable, non-transferable license for your personal, educational, ministry, or internal business use only.
You do not own the content. You are receiving access to use the content under these Terms.
Violation of this section may result in immediate removal from the program, community, membership, course, event, or platform without refund and may result in legal action.
5. Account Access and Login Sharing
Each purchase, subscription, membership, course enrollment, or community access is for one individual user only unless otherwise stated in writing.
You may not share your login credentials, account access, course access, community access, replays, downloads, private links, or paid resources with another person, group, organization, ministry, church, company, or team.
If we determine that account access has been shared, duplicated, misused, or distributed, we reserve the right to suspend or terminate access without refund.
6. Payment Terms
By purchasing from Cultivate University, you authorize us and our payment processors to charge your selected payment method for the amount stated at checkout.
You agree to provide accurate, current, and complete billing information.
You are responsible for all charges, taxes, fees, payment plan installments, subscription fees, renewal charges, and outstanding balances associated with your account.
Prices are subject to change at any time. Price changes do not apply retroactively to completed purchases unless otherwise stated.
7. Payment Plans
If you select a payment plan, you are agreeing to pay the full purchase price in installments.
A payment plan is not a subscription that can be canceled simply because you no longer wish to participate. It is a commitment to pay the total agreed amount over time.
Failure to complete a payment plan may result in:

Suspension of access

Removal from the program

Loss of bonuses
-
Loss of certification eligibility
-
Collection of the remaining balance
-
Recovery of reasonable collection costs, processing fees, or legal fees where permitted by law
Missed payments do not cancel your obligation to pay the remaining balance.
8. Failed Payments
If a payment fails, we may attempt to charge the payment method again. You are responsible for updating your billing information promptly.
Access may be suspended or revoked until the account is brought current.
If your account remains past due, we reserve the right to cancel access, remove you from programs, revoke bonuses, deny certification, and pursue collection of unpaid balances.
9. Subscription and Membership Billing
Some Cultivate University products are offered as recurring subscriptions, memberships, or community access programs.
By joining a subscription or membership, you authorize recurring charges to your payment method according to the billing frequency shown at checkout, such as monthly, quarterly, annually, or another stated term.
Your subscription will continue until canceled according to the cancellation instructions provided.
You are responsible for canceling before your next billing date if you do not wish to be charged again.
Failure to use the membership, log in, attend calls, watch content, participate in the community, or consume resources does not qualify you for a refund.
10. Subscription Cancellation Policy
You may cancel a subscription or recurring membership according to the cancellation instructions provided inside your account, checkout page, member portal, or by contacting support at [email protected].
Cancellation stops future billing. Cancellation does not automatically create a refund for previous payments.
To avoid a future charge, cancellation must be submitted before the next billing date. We recommend canceling at least three business days before your next scheduled payment to allow time for processing.
After cancellation, your access may continue until the end of the current paid billing period unless otherwise stated.
We do not provide prorated refunds for partially used billing periods unless required by law or specifically stated in writing.
11. Refund Policy
All sales are final unless a specific refund policy is stated on the checkout page, sales page, written agreement, or offer terms for that specific product.
Because our products often include immediate access to digital content, proprietary education, downloads, community access, live training, replays, intellectual property, bonuses, coaching, and/or limited-seat experiences, we generally do not offer refunds after purchase.

Bundles
If a specific offer includes a refund window, guarantee, or cancellation period, that policy will be stated on the sales page or checkout page and will only apply to that specific offer.
Refund requests based on personal schedule changes, failure to participate, failure to complete the program, buyer’s remorse, misunderstanding the offer after purchase, not using the product, forgetting to cancel, or deciding the program is no longer needed are not guaranteed and may be denied.
12. Event Refunds and Transfers
Event tickets, conference registrations, intensives, workshops, and live training registrations are non-refundable unless otherwise stated.
If we allow ticket transfers, the request must be submitted in writing before the event and approved by us.
We reserve the right to change event speakers, schedules, locations, format, or delivery method when necessary. Such changes do not automatically qualify for a refund.
If an event is postponed, your registration may be transferred to the new date.
If an event is canceled by us, we may offer a refund, credit, transfer, or replacement experience at our discretion, unless otherwise required by law.
13. Coaching Agreement
By purchasing or participating in coaching, consulting, masterminds, group coaching, private coaching, or strategy sessions, you understand and agree that coaching is a collaborative educational relationship.
Coaching is not therapy, counseling, legal advice, financial advice, medical advice, tax advice, or a guarantee of personal, spiritual, ministry, or business results.
The client is responsible for:

Showing up on time

Completing assignments
-
Implementing strategies
-
Asking questions
-
Communicating clearly
-
Taking personal responsibility
-
Making final decisions
-
Managing their own schedule, emotions, finances, business, ministry, and relationships
-
Seeking licensed professional support where needed
The coach, instructor, or consultant may provide strategy, insight, feedback, education, spiritual encouragement, accountability, frameworks, and recommendations, but the client remains responsible for all actions and outcomes.
14. Coaching Session Scheduling, Rescheduling, and No-Shows
Coaching sessions must be scheduled according to the instructions provided.
If you need to reschedule, you must provide at least 24 hours’ notice unless otherwise stated in writing.
Missed sessions, late arrivals, or no-shows may be forfeited and are not guaranteed to be rescheduled.
If you arrive late, the session may still end at the originally scheduled time.
Unused coaching sessions may expire at the end of the program term unless otherwise stated.
Coaching access, messaging access, email support, private feedback access, or any other form of private support may be limited to the dates and scope of the purchased program.
15. Boundaries of Coaching Communication
Unless otherwise stated, coaching does not include unlimited access to Torace Solomon, Cultivate University staff, instructors, coaches, or team members.
Communication may be limited to scheduled sessions, designated platforms, office hours, community posts, email support, or other approved channels.
We reserve the right to set healthy communication boundaries, response-time expectations, and support limitations.
Abusive, dishonoring, manipulative, threatening, excessive, or inappropriate communication may result in removal from coaching or community access without refund.
16. Community Membership Policy
Cultivate University communities, memberships, groups, chats, comment sections, and forums are designed for learning, encouragement, discipleship, training, accountability, and healthy connection.
By participating in any community, you agree to conduct yourself with honor, respect, maturity, and integrity.
You may not:

Harass, threaten, shame, bully, or abuse others

Post hateful, violent, sexually explicit, discriminatory, or illegal content

Attack other members, leaders, instructors, or staff
-
Share confidential information from the community

Promote competing offers without permission
-
Solicit members for your own business, ministry, church, coaching, group, event, or platform without permission

Spam the group
-
Use the community for dating, manipulation, fundraising, political arguments, or unrelated promotion

Screenshot private posts or conversations without permission
-
Share private prophetic words, prayer requests, testimonies, or personal stories outside the community without consent

Create division, confusion, or disruption
-
Publicly slander, defame, or misrepresent Cultivate University, its leaders, staff, students, or members
We reserve the right to remove posts, moderate conversations, restrict participation, mute members, suspend accounts, or remove any member from the community without refund if we believe the member has violated these standards.
17. Spiritual Ministry, Prophetic Ministry, Deliverance, Healing, and Prayer
Some programs may include spiritual teaching, prophetic ministry, deliverance training, healing ministry, prayer, biblical instruction, worship, activation, or ministry-related content.
Participation is voluntary.
You understand that spiritual ministry does not replace professional medical, psychological, psychiatric, legal, financial, or therapeutic care.
You are responsible for using wisdom, discernment, biblical maturity, and personal responsibility in applying any spiritual instruction or ministry training.
We do not guarantee a specific prophetic outcome, healing outcome, deliverance outcome, financial breakthrough, ministry result, personal result, or spiritual experience.
You agree not to use Cultivate University training to manipulate, exploit, control, abuse, or harm others spiritually, emotionally, financially, or relationally.
We reserve the right to deny, restrict, or revoke access to ministry training if we believe a participant is misusing the material or creating harm.
18. Certification and Licensure Programs
Some programs may offer certificates of completion, ministry certifications, ordination pathways, licensure pathways, or training credentials.
Enrollment does not guarantee certification, licensure, ordination, commissioning, graduation, endorsement, recommendation, platforming, ministry placement, or professional recognition.
Certification may require attendance, assignments, assessments, participation, payment completion, ethical conduct, spiritual maturity, leadership approval, or other requirements.
We reserve the right to deny, delay, revoke, or withhold certification if a student fails to meet program standards, violates community guidelines, fails to complete payment, misuses training, behaves unethically, or otherwise does not meet the requirements.
Unless explicitly stated, Cultivate University certifications are faith-based, educational, and ministry-oriented credentials and may not represent state licensing, government recognition, academic accreditation, or professional licensure.
19. User-Generated Content
If you post, submit, upload, share, or contribute content inside our communities, websites, programs, chats, testimonials, comments, or platforms, you grant us permission to use, display, repost, quote, screenshot, publish, and share that content for educational, promotional, training, testimonial, or community purposes, unless you clearly request otherwise in writing.
We will make reasonable efforts to protect sensitive private information, but you should not post anything in a community or platform that you do not want others to see.
You remain responsible for the content you submit.
20. Testimonials and Results
By submitting a testimonial, review, comment, success story, screenshot, message, or result to us, you give us permission to use it in our marketing, websites, social media, emails, trainings, sales pages, and promotional materials.
We may use your name, likeness, business or ministry name, social media handle, photo, video, written statement, or result unless you request anonymity in writing and we approve the request.
We may edit testimonials for length, clarity, grammar, or formatting without changing the meaning.
21. Chargebacks and Payment Disputes
If you have an issue with a purchase, billing, access, or account, you agree to contact us first at [email protected] so we can attempt to resolve the issue.
Filing a chargeback or payment dispute does not cancel your agreement, payment plan, subscription, or outstanding balance.
If a chargeback is filed for a valid charge, we reserve the right to:

Suspend or terminate access

Provide documentation to the payment processor

Cancel future participation
-
Remove bonuses or community access
-
Deny future purchases
-
Recover outstanding balances, fees, or costs where permitted by law
Fraudulent chargebacks may be treated as a breach of these Terms.
22. Access Duration
Access duration varies by product.
Some products may include lifetime access, limited-time access, subscription-based access, cohort-based access, event-only access, or access for a stated term.
“Lifetime access,” when offered, means access for the lifetime of that product or platform, not the lifetime of the purchaser or the lifetime of Cultivate University.
We reserve the right to retire, replace, update, migrate, or discontinue products, platforms, communities, and content. If content is retired, we may offer reasonable replacement access at our discretion.
23. Technology and Platform Access
We use third-party platforms for checkout, hosting, email, communities, video, replays, downloads, payment processing, and communication.
We are not responsible for outages, delays, bugs, access issues, email delivery problems, internet problems, third-party platform failures, or device incompatibility outside of our control.
You are responsible for having the internet connection, device, software, login credentials, and technical ability needed to access the content.
24. Bonuses
Bonuses are promotional and may be offered for a limited time.
Bonuses have no cash value and are not guaranteed to remain available forever.
If you receive a refund, cancellation, failed payment, chargeback, or account termination, you may lose access to bonuses.
We reserve the right to replace, modify, remove, or substitute bonuses at any time.
25. Right to Refuse Service
We reserve the right to refuse service, deny enrollment, cancel orders, remove access, restrict participation, or terminate accounts at our discretion if we believe a person is violating these Terms, creating harm, disrupting the community, misusing our content, abusing staff or members, failing to pay, or acting in a way that conflicts with the purpose and values of Cultivate University.
26. Termination of Access
We may terminate or suspend your access to any product, program, membership, community, event, coaching, certification, or service if you violate these Terms.
Termination does not release you from payment obligations already incurred.
If access is terminated because of your violation of these Terms, you are not entitled to a refund.
27. Limitation of Liability
To the fullest extent permitted by law, Cultivate University, its owners, leaders, officers, employees, contractors, instructors, coaches, affiliates, partners, and representatives shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages arising from your use of our website, products, services, coaching, community, content, or programs.
This includes, but is not limited to, loss of income, loss of business, loss of opportunity, spiritual distress, emotional distress, reputational harm, data loss, personal decisions, ministry outcomes, business outcomes, or reliance on our content.
Your sole remedy for dissatisfaction with our Services is to stop using the Services.
28. Indemnification
You agree to indemnify, defend, and hold harmless Cultivate University, its owners, leaders, officers, employees, contractors, instructors, coaches, affiliates, partners, and representatives from any claims, damages, liabilities, losses, expenses, or legal fees arising from your violation of these Terms, misuse of our content, conduct in our communities, breach of payment obligations, infringement of intellectual property, or actions taken based on our educational content.
29. Governing Law
These Terms shall be governed by and interpreted according to the laws of the State of Texas, United States, without regard to conflict-of-law principles.
Any disputes arising from these Terms, our website, products, services, coaching programs, communities, memberships, subscriptions, events, certifications, or content shall be handled in accordance with the laws of the State of Texas, unless another jurisdiction is required by applicable law.
30. Updates to These Terms
We may update these Terms at any time by posting the revised version on our website or platform.
Your continued use of our website, products, communities, memberships, subscriptions, programs, coaching, or services after changes are posted means you accept the updated Terms.
